Purpose

The website www.decobd.com (the Site) is owned by EQUIPROD INNOVATION SAS, a simplified joint-stock company, with its registered office located at 50 Rue du petit village, 59200 Tourcoing.

The Site is exclusively intended for professionals, excluding consumers and non-professionals. Its objective is to offer a Bangladesh-made sourcing of handcrafted and eco-friendly home decoration products.

These general terms of use (the Platform T&C) govern your navigation and any use of the Site, whether in connected mode or with restricted access as a simple visitor.

In the case you have an Account, these terms are in addition to the T&C applicable to you (User T&C).

2. Access and Use of the Site

Access to and browsing on the Site is open to all. However, access to certain parts and features of the Site is reserved for Account holders. Creating an Account implies acceptance of the specific T&C applicable to it (User T&C).

DecoBD reserves the right to accept or refuse any request for Account creation.

DecoBD provides no guarantee of any kind, with the Site being provided “as is” and “as available”. DecoBD also does not guarantee that:

• Access to the Site will be error-free or uninterrupted;

• The Site’s content will meet the user’s needs;

Viruses will not infect the user’s computer system, potentially causing damage.

DecoBD reserves the right, at its sole discretion and at any time, to interrupt or suspend access to the Site, in whole or in part, in particular, but not exclusively, for maintenance operations, operational necessities, or in case of an emergency.

3. Evolution of the Site

DecoBD reserves the right to evolve the services and features offered on the Site, at any time and at its sole discretion. Similarly, DecoBD reserves the right to delete or modify any content published on the Site for any reason.

It is understood that such interventions will not engage the liability of DecoBD in any way, nor give rise to any compensation.

4. User Behaviour

Each user of the Site, and more generally of the Internet, must use it with respect and courtesy towards the rights of other Internet users. To this end, each user accessing and using the Site is prohibited in particular from:

• Downloading to the Site, displaying, sending, or transmitting illegal, harmful, threatening, abusive, harassing, criminal, defamatory, vulgar, obscene, contrary to good morals, infringing on a person’s privacy, including their right to image, as any content that is odious or offensive on a racial, ethnic, or other basis;

• Downloading to the Site, displaying, sending, or transmitting unauthorized advertising or promotional materials, false information, chain letters, or any other form of solicitation;

• Downloading to the Site, displaying, sending, or transmitting any element containing software viruses or other codes, files, or computer programs designed to interrupt, destroy or limit the functionality of any software or hardware or telecommunications equipment;

• Disrupting or interrupting the Site or servers or networks connected to the Site, or violating the requirements, procedures, rules, or regulations of networks connected to the Site;

• Attempting to harm the service of any user, host, or network, which includes, without limitation, exposing the Site to a virus, creating saturation, flooding the server, overloading the email system, or falsifying any packet header information in the TCP/IP protocol or any part of the header information in any email;

• Accessing data not intended for the user or entering a server/account which the user is not authorized to access;

• Attempting to probe, scan, or test the vulnerability of a system or network, or to breach security or authentication measures without proper authorization;

• Impersonating another person, brand, or merchant;

• Engaging in or encouraging a third party to engage in illegal activity or any other activity that infringes the rights of DecoBD, its suppliers, partners, brands, merchants, or any other user of the Site;

Transmitting or transferring (by any means) information or software derived from the Site to other countries or to certain foreign nationals in violation of any national or international law or regulation.

Recognizing the global nature of the Internet, each user of the Site agrees to respect all local and international laws, rules, and procedures relating to online behaviour and acceptable content, and the transmission of technical data.

At any time and for any reason, DecoBD may implement any means to terminate, without notice, the user’s use of the Site or any of the services offered by DecoBD for any conduct violating these terms, without prejudice to any damages that DecoBD reserves the right to claim in case of non-compliance.

5. Intellectual Property Rights

5.1. The Site

The Site, its architecture, and the elements it contains are protected by intellectual property rights, and more specifically by the rights of database producers. All of its contents may contain confidential information as well as elements specifically protected by intellectual property law.

Users are therefore informed that any use of the Site must be carried out respecting these rights. Users of the Site are thus prohibited from any practice that would contravene this, such as scraping and similar techniques. Thus, unless otherwise stated, the intellectual property rights relating to the Site, including all content, texts, illustrations, photographs, and images, as well as all other visual or sound elements, databases, including the underlying technology and software, remain the exclusive property of DecoBD and its partners (artisans). Their use on any medium, outside of the applicable conditions and without express written authorization from DecoBD or said partners where applicable, is strictly prohibited. Any infringement of these rules may constitute an act of infringement, entitling DecoBD to exercise all the remedies it has to protect its rights and obtain full compensation for its entire prejudice.

5.2. Trademarks

The user is informed that DecoBD is the owner of its trademarks and logos and recognizes the exclusive rights it holds in this regard. The user is therefore prohibited from using them in any way that has not been expressly authorized and, more generally, from infringing on DecoBD’s intellectual property rights. DecoBD reserves the right to claim damages in case of infringement and more generally in case of infringement of its intellectual property rights. Similarly, the user of the Site is prohibited from infringing the property rights, including intellectual property rights, that may be held by all partners, providers, suppliers, and more generally any third party using the services offered by DecoBD, or offering its services through this intermediary, whose trademarks and logos are reproduced on the Site.

5.3. User Rights

Subject to compliance with these terms, DecoBD grants the user of the Site a limited, personal, non-exclusive, non-transferable, non-assignable, and non-sub licensable right to access, display, and view the Site. All rights not expressly granted to the user by these terms are retained by DecoBD, its licensors, and any potential partners, providers, or suppliers. The user of the Site agrees not to alter or delete any notices relating to DecoBD’s intellectual property or that of all partners, providers, or suppliers appearing on the Site. The user is also prohibited from copying, modifying, creating a derivative work, assembling, decompiling, selling, assigning, sub-licensing, or transferring in any way any rights relating to the Site and/or its contents. It is also prohibited, except with express and prior authorization from DecoBD, to modify any part of the Site and in particular the underlying technology with a view to obtaining unauthorized access to the services offered by DecoBD and to access the Site by any means other than the interface provided by DecoBD to the user.

5.4. Hypertext Links

The Site may include links to other websites or other sources. To the extent that DecoBD cannot control these external sites and sources, DecoBD cannot be held responsible for any damage or loss that may be suffered by users in connection with these links. Hypertext links to the Site that use techniques such as framing, framing or insertion by hypertext links (in-line linking type) and more generally any use of an element composing the Site is prohibited and in any case subject to prior and express authorization from DecoBD.

6. Liability

6.1. Access and Functioning of the Site

Each user is personally responsible for setting up the computer and telecommunications resources allowing access to the Site and for the knowledge necessary to use the Internet and access the Site. Each user bears all costs of connection and equipment related to accessing the Internet and using the Site. Each user uses the Site at their own risk. DecoBD cannot therefore be held responsible for any damage that any user may suffer as a result of such use.

Furthermore, DECOBD (SAS EQUIPROD INNOVATION) DISCLAIMS ALL LIABILITY FOR INDIRECT DAMAGES, REGARDLESS OF THEIR CAUSES, ORIGINS, NATURE, OR CONSEQUENCES INCLUDING IN PARTICULAR THE COSTS THAT MAY ARISE FROM THE ACQUISITION OF GOODS OFFERED ON THE SITE, LOSS OF PROFITS, CUSTOMERS, DATA, REPUTATION, OR ANY OTHER LOSS OF INTANGIBLE ASSETS THAT MAY OCCUR AS A RESULT OF ANYONE’S ACCESS TO THE SITE OR THE INABILITY TO ACCESS IT OR THE CREDIT GRANTED TO ANY INFORMATION DIRECTLY OR INDIRECTLY FROM IT.

6.2. Limitation of Liability

The Site also contains information from third parties and links to other websites. DecoBD does not control either the accuracy of the information contained therein or their content. As a result, DecoBD can in no case be held responsible for damages resulting from the use, access to, or inability to use these third-party information or the content of other websites. DecoBD cannot be held to any guarantee, of any kind, whether implicit or explicit, in particular concerning the integrity, accuracy, timeliness, non-infringement, availability, reliability, or completeness of the information, products, accessories, or services appearing on the Site or their suitability for the use that the user plans to make of them.

Any claim filed by a user against DecoBD must be formulated at the latest within 6 months following the appearance of the event, the subject of the claim under penalty of foreclosure.

8. General

8.1. Modifications

DecoBD reserves the right to modify and update these terms at any time. Users are therefore invited to consult them regularly. Any use of the Site will be subject to the conditions then published and in force at the time of use.

8.2. Entirety

In the event that one of the clauses of the Platform T&C is affected by a change in legislation, regulation, or by a court decision, this shall in no way affect the validity and compliance with the other clauses of these terms.

8.3. Applicable Law and Jurisdiction

The Platform T&C are subject to French law.

ANY DISPUTE RELATING TO THE EXISTENCE, INTERPRETATION, PERFORMANCE OR TERMINATION OF THE CONTRACT CONCLUDED BETWEEN DECOBD AND THE USER SHALL BE SUBJECT TO THE EXCLUSIVE JURISDICTION OF THE COURTS WITHIN THE JURISDICTION OF THE PARIS COURT OF APPEAL. THIS ASSIGNMENT OF JURISDICTION APPLIES NOTWITHSTANDING MULTIPLE DEFENDANTS OR A WARRANTY CLAIM, EVEN FOR EMERGENCY PROCEDURES OR PROTECTIVE PROCEDURES ON AN EXPEDITED BASIS OR BY APPLICATION.
